Helpful Tips for Completing Incorporation Forms

As incorporation forms vary from state to state, most of the required information is the same.  Be sure you have the proper form for the type of incorporation to be filed.  There are sometimes additional forms that need to be completed along with articles or certificates of incorporation.  Not completing and filing these can delay the process, so be sure to complete and file all necessary forms together.  If you don’t use an attorney or legal service to complete incorporation forms, most state websites offer all necessary forms for download, as well as all glossaries and instructions for completion.  If you don’t have an attorney to advise you, questions can be answered with your local Secretary of Sate office.

Some useful information for completing incorporation forms including C-Corporations, S-Corporations, Limited Liability Corporations/Companies, Limited Liability Partnerships, and Non-Profit Entities are:
Name and Location: Exact name and address of company, association, society, union etc; Effective Date: Date corporation is registered (can be after date of filing); Registered or Appointment of Agent/Office: must be an agent of the corporation or an individual resident of the state, appointed by the corporation; Purpose of Business: type of business the corporation intends to conduct.  Describe in detail and note that all functions of business must be lawful in the state in which filed; Authorized Capital (for corporations issuing stock): shares of issued stock and par value. Directors: names, addresses, and titles of directors of corporation; Appointment of Statutory Agent: member of corporation that will be served any legal documents regarding the business entity and who is responsible for information.
